  • Details of what type of company it is.

  • Intended company name: The name of the company must be approved before proceeding to registration.

  • Details of the company directors: Both foreigners, Singapore citizens or Singapore PRs can be company directors. A company needs at least one director who is a Singapore citizen, Employment pass holder or permanent resident.

  • Details of the contributors or shareholders. A Singapore company can have either an individual or a corporate as a shareholder.

  • Share capital.

  • Registered address: It must be a locally registered Singapore address. PO box is not accepted. Usually, the premises you rent can serve as your registered address. Another common option is a co-working space. Finally, you may elect to engage a corporate service provider for their virtual office service to fulfil your registered address requirement.

As a Singapore businessperson, you need to interact with BizFile regularly. Here is a list of essential activities you or your company secretary can perform using the BizFile platform.

  • Online business registration.

How can the company file Annual Returns with ACRA Singapore?

The Singapore Companies Act requires your company to file annual returns with ACRA. The companies can file the return online through BizFile. The documents required for filing the Annual returns are the company's financial statements and the latest information about the company, such as the details of company directors and shareholders.

Here are some steps the company can follow to submit the Annual Returns:

  1. After the company's financial year-end (FYE), prepare the financial statements for the company. The financial statement is commonly prepared by your in-house finance staff or an outsourced accountant.

  2. Schedule an Annual General Meeting (AGM) where the board of directors presents the financial statements to the shareholders. For most listed companies, this function is done by their in-house chartered corporate secretaries. Small or medium-sized companies often engage external secretarial teams to assist with their AGM duties.

  3. Once approved by the shareholders, the financial statements and the other required company details can be uploaded to BizFile.

The company is required to submit the annual returns through BizFile within 30 days after AGM to avoid penalties. An extension can be granted if the companies cannot submit the returns within 30 days, but continuous failure to do so can result in hefty fines. Though these are the general guidelines, certain companies can submit the returns without conducting the Annual General Meeting.

  • Use ACRA's online directory search function: You can search for your business entity's name or registration number on ACRA's website to find your Business Profile.

  • Purchase a Business Profile report: You can purchase a Business Profile report directly from ACRA's website or from a corporate service provider.

  • Use BizFile+: You can log in to BizFile+ website (https://www.bizfile.gov.sg/), ACRA's online filing and information retrieval system, to view and download your Business Profile.

  • Scan the QR code on the last page of your Business Profile: The QR code will direct you to the authentication page where you can verify the authenticity of the report.

How long is an ACRA Business Profile valid for?

An ACRA Business Profile is valid as of the date of issuance and for a period of 14 days from the date of issuance. This means that the information contained in the Business Profile is accurate as of the date of issuance, and it is recommended to download and save the Business Profile within 14 days to ensure that you have the most up-to-date information.

After 14 days, the information may no longer be accurate due to changes in the business entity's registration details. So, it is always a good idea to keep your Business Profile updated!
